Zarząd FON SE w Tallinnie niniejszym informuje, że w dniu 30.12.2019r. Emitent jako Pożyczkobiorca zawarł Umowę pożyczki pieniężnej ze spółką ATLANTIS SE z siedzibą w Tallinie, Estonia _numer w rejestrze Ariregister Estonia: 14633855_ jako Pożyczkodawcą.
Na mocy Umowy z dnia 30.12.2019r. Emitent otrzymał pożyczkę pieniężną w kwocie 27.259.500 zł _słownie: dwadzieścia siedem milionów dwieście pięćdziesiąt dziewięć tysięcy pięćset_ na okres do dnia 31.12.2024 r. Pożyczka jest oprocentowana w wysokości zmiennej stopy procentowej WIBOR dla depozytów 1 jedno miesięcznych +0,5%.
Strony ustaliły, że odsetki od udzielonej pożyczki naliczane będą w okresach miesięcznych i płatne będą jednorazowo wraz ze spłatą całości pożyczki w dniu 31.12.2024r. Strony Umowy pożyczki zgodnie ustaliły, że Pożyczkodawcy przysługuje prawo do przedterminowego zwrotu całości lub części kapitału udzielonej pożyczki.
Zgodnie z warunkami zawartej Umowy pożyczki wypłata pożyczki nastąpiła w dniu zawarcia Umowy.
Pożyczkodawca zabezpieczył zwrot kwoty pożyczki wraz z odsetkami oraz ewentualnych innych roszczeń jakie mogą powstać z tytułu zawartej Umowy poprzez otrzymanie od Pożyczkobiorcy weksla własnego in blanco wraz z deklaracją wekslową.
Emitent ponadto informuje, że pomiędzy FON SE, a spółką ATLANTIS SE w Tallinie, Estonia zachodzą powiązania osobowe. Prezes Zarządu Emitenta pełni funkcję Prezesa Zarządu Pożyczkobiorcy. Ponadto trzech z Członków Rady Nadzorczej Emitenta pełni funkcję w Radzie Nadzorczej Pożyczkobiorcy. Ponadto Emitent informuje, że znaczący akcjonariusz Emitenta _33,9%_ jest również znaczącym akcjonariuszem Pożyczkobiorcy _63,6%_. The Management Board of FON SE in Tallinn hereby informs that on 30/12/2019 the Issuer as a Borrower concluded a Cash Loan Agreement with ATLANTIS SE with its registered office in Tallinn, Estonia _number in the Ariregister register Estonia: 14633855_ as the Lender.
Under the Agreement of 30/12/2019 The Issuer has received a cash loan in the amount of PLN 27.259.500,00 _in words: twenty seven million two hundred fifty nine thousand five hundred_ for the period ending on 31/12/2024. The loan bears interest at the variable WIBOR interest rate for 1-month deposits + 0.5%.
The parties agreed that interest on the loan will be calculated on a monthly basis and will be payable once together with the repayment of the entire loan on 31/12/2024. The parties to the Loan Agreement have agreed that the Lender has the right to early repayment of all or part of the capital of the loan granted.
Pursuant to the terms of the concluded Loan Agreement, the loan was disbursed on the day of conclusion of the Agreement.
The lender has secured the repayment of the loan amount together with interest and any other claims that may arise from the concluded Agreement by receiving from the Borrower a blank promissory note together with a promissory note declaration.
The Issuer also informs that there are personal ties between FON SE and ATLANTIS SE in Tallinn, Estonia. The Chairman of the Issuer’s Management Board acts as the Chairman of the Borrower’s Management Board. In addition, three Members of the Issuer’s Supervisory Board perform the function of the Borrower’s Supervisory Board. In addition, the Issuer informs that the Issuer’s significant Shareholder _33,9%_ is also the Borrower’s significant shareholder _63,6%_.
